About Alterfin

Created in 1994, Alterfin is a cooperative company that aims to promote sustainable development and improve living conditions of socially and economically deprived people and communities worldwide by financing microfinance institutions and sustainable agriculture organisations (“partners”) in low and low middle-income countries.

The Alterfin team consists of 20 employees in Europe and 15 external consultants working in different countries in Latin America, Africa, and Asia.

About the position

Together with the Legal & Compliance Officer and under the responsibility of the CEO, the Legal & Compliance Manager handles the various legal aspects within the organization to ensure compliance on all levels (internal and external) with all laws and regulations governing Alterfin.

Your responsibilities

You are responsible for:

  • Legal compliance of the loan process: negotiating loan contracts with partners based on the terms and conditions approved by Alterfin’s investment committee and obtaining the required collateral/securities and KYC documents.
  • Up-to-date and effective legal documentation: review and renewal of loan agreement templates, drafting new legal templates (such as non-disclosure agreements, intercreditor agreements, service agreements, powers of attorney, collateral documentation)
  • Legislative monitoring: continuous follow-up on changes in European, Belgian and (with guidance of foreign lawyers) foreign law and taking the appropriate measures to ensure compliance thereof.
  • Internal and external compliance: drafting internal procedures and policies and ensuring that they are complied with, drafting and publishing legal documents (such as by-laws, prospectus or information note) taking into account Alterfin’s status as an alternative investment fund and a cooperative company selling shares to the public, and being the point of contact with the relevant authorities (such as the FSMA).
  • Support recovery cases and litigation: together with lawyers abroad, provide legal assistance to the recovery management of loans to defaulting partners.
  • Advice on other legal questions and issues: Give internal and external support by providing legal advice and drafting or reviewing legal documents on different topics such as collaboration with other social lenders, insurance policies and documentation, or any other specific project in which Alterfin is involved.

Your profile

  • You have a master’s degree in law.
  • You have been working for at least 10 years in a relevant position with good knowledge of Contract, Banking, Securities and Corporate Law and legislations such as AML or GDPR.
  • Experience as a lawyer or at the FSMA or a similar authority would be a plus.
  • People and project management experience would be a plus.
  • You have a high attention to details and are meticulous with policies and procedures.
  • You have strong analytical and critical thinking.
  • You are precise, rigorous and have an eye for details.
  • You are pragmatic and client-minded and have good communication and negotiation skills.
  • You have an excellent knowledge of French and English, a good command of Spanish with notions of Dutch.
  • You feel strong affinity for Alterfin’s social mission and want to invest your personal development on the long run in the same field.
  • You are able to work in an international and multicultural team and are a strong team player.
